1. Definitions

  • Client: The individual, company, or organization receiving services from JustWorksCRM.

  • Deliverables: The final website, features, or materials specified in the scope of work.

 

2. Scope of Services JustWorksCRM offers the following services:

  • Custom website design and development.

  • CMS (Content Management System) setup and configuration.

  • Ongoing website maintenance and support.

  • Hosting setup and management.

  • Bug fixes and performance improvements.

  • Content updates as requested.

  • Services will be detailed in a separate proposal or statement of work (SOW), which forms part of this Agreement once accepted by the Client.

 

3. Fees and Payment

  • All fees are outlined in the proposal or invoice and are subject to VAT where applicable.

  • A non-refundable deposit of [e.g., 50%] is required to commence work.

  • Final payment is due upon completion of the website or as specified in the proposal.

  • Maintenance fees may be billed monthly, quarterly, or annually in advance.

5. Timelines

  • JustWorksCRM will use reasonable efforts to meet agreed deadlines but is not liable for delays caused by the Client or third parties.

  • Delays in content provision or feedback may result in timeline extensions and/or additional charges.

 

6. Ownership and Intellectual Property

  • Upon full payment, the Client owns the final website design, content, and source code unless otherwise agreed.

  • JustWorksCRM retains ownership of any custom-built tools or proprietary frameworks used in the build unless licensed to the Client.

 

7. Maintenance Services

  • Maintenance covers regular software updates, security patches, performance monitoring, and minor content changes.

  • Maintenance does not include major design overhauls or new feature development unless specified.

  • Emergency support is available at [state hourly rate or SLA terms].

 

8. Change Requests

  • Requests outside the original scope may require a new quote or change order.

  • All change requests must be agreed to in writing before implementation.

 

9. Warranties and Limitations

  • In the event of termination, the Client agrees to pay for all work completed up to the termination date.

  • JustWorksCRM reserves the right to suspend services for non-payment.

 

11. Confidentiality

  • Both parties agree to maintain the confidentiality of sensitive information shared during the project.

 

12. Governing Law

  • This Agreement is governed by the laws of [England & Wales].

 

13. Miscellaneous

  • These Terms may be updated periodically. Continued use of services constitutes acceptance of any updated Terms.
